Terms of Service

These Terms govern your access to and use of the ooverlap mobile applications, website, invite pages, and related services (together, the "Services"). The Services are provided by Michel Chamoun, Alsterdorfer Straße 488, 22337 Hamburg, Germany. By accessing or using the Services, you agree to these Terms.
1. Eligibility
You may use the Services only if you are at least 16 years old (or the minimum age required by applicable law in your country) and legally capable of entering into a binding contract.
By using the Services, you confirm that:
- you are 16 or older (or meet the minimum age required by applicable law in your country);
- the information you provide is accurate;
- you will comply with these Terms and applicable law.
We may suspend or end access if we reasonably believe these conditions are not met.
2. The Services
ooverlap is a social event coordination platform. Depending on the product surface and your access level, the Services may include event creation and management, invite pages, groups, chats, comments, polls, lists, galleries, ride coordination, expense tracking, direct messages, and related coordination features.
Some features are available only to registered users. Some event-related features may also be available to guests through invite pages.
3. Registered Users and LWV Guests
The Services support different access models:
- Registered Users: users with an ooverlap account.
- LWV Guests ("LWV" stands for "Link Without Verification"): users who access an event or invitation through a link without creating a full account.
Different features, permissions, and visibility rules may apply depending on the access model.
4. Guest Access and Acceptance
LWV Guests may be required to provide information such as name and email address and to accept these Terms before viewing certain content or taking certain actions.
If you continue through the guest flow, these Terms apply to you even if you do not create a registered account.
5. Accounts and Login
Certain features require an account. We may offer login methods such as email/password, Apple sign-in, and Google sign-in.
You are responsible for:
- keeping your credentials confidential;
- activities under your account;
- informing us promptly if you suspect unauthorized access.
You may not:
- create an account with false or misleading information;
- impersonate another person or entity;
- maintain accounts for deceptive, abusive, or manipulative purposes;
- transfer or sell your account without our written consent.
We may apply verification steps, security checks, or account limits where appropriate.
6. Invite Pages and Link-Based Access
ooverlap may allow events to be shared through invite pages accessible by link. Depending on host settings and event configuration, invite pages may display selected event information, including:
- title and description;
- hero image or hero video;
- host profile name and profile image;
- selected guest previews;
- date and time;
- exact address;
- RSVP totals and limited RSVP previews;
- comments;
- polls and lists;
- limited gallery previews.
Invite pages do not necessarily provide the full in-app experience. Features such as full galleries, in-app chat, PDF tickets, and full ride information may remain restricted.
7. Invite Links, Visibility, and Host Controls
Anyone with a valid invite link may be able to access the content the host has chosen to make visible through that link.
Hosts may control matters such as:
- whether the exact address is shown;
- which invite-page content is visible;
- whether a link remains active;
- whether a link is regenerated or revoked;
- quotas or ceilings attached to a link.
If a host, participant, or guest shares a link externally, anyone receiving that link may be able to view the content exposed through it. We do not guarantee confidentiality for content made accessible through shared links.
Hosts are responsible for the invite links they create, distribute, enable, regenerate, or leave active, including link-level sharing settings and quotas.
8. Hosts and Real-World Events
If you create or organize an event, you are responsible for that event and its configuration. This includes responsibility for:
- event setup and descriptions;
- visibility settings;
- invite-link distribution and controls;
- participant limits, quotas, and waitlists;
- moderation where host controls are available;
- event changes, postponements, and cancellations;
- the real-world planning and execution of the event.
ooverlap provides a coordination platform only. We do not organize, supervise, insure, verify, or guarantee real-world events, venues, participants, transport, reservations, payments between users, or actual attendance.
Participation in events and interactions with other users take place at your own risk.
9. User Content
"User Content" means content, material, or data you upload, submit, post, send, display, store, or otherwise make available through the Services, including profile content, event descriptions, comments, chat messages, polls, list entries, gallery uploads, media, documents, PDF tickets, ride information, expense entries, and direct messages.
You retain ownership of your User Content, subject to the rights granted in these Terms.
10. Responsibility for Content
You are responsible for the specific User Content you create, upload, post, send, or otherwise make available through the Services.
You represent and warrant that:
- you own your User Content or have all rights, permissions, consents, and releases needed to use it;
- your User Content does not violate applicable law or third-party rights;
- where your User Content includes identifiable persons, you have any permissions or releases reasonably required.
We are not responsible for User Content posted by users, guests, or hosts.
11. License to ooverlap
You grant ooverlap a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, adapt, transmit, display, distribute, and otherwise use your User Content as necessary to:
- provide, operate, secure, maintain, and improve the Services;
- make content available within the relevant product flow;
- back up and restore data;
- investigate misuse and enforce these Terms;
- develop, test, and support features;
- comply with legal obligations.
If you intentionally make content visible on a public or link-accessible invite page, you also grant us the right to use that content for marketing, promotional, editorial, and showcase purposes related to the Services.
12. Deletion, Anonymization, and Collaborative Context
Because ooverlap includes collaborative and event-based features, deleting your account or content may not remove every historical contribution from an event context.
Where appropriate, we may delete content, remove personal attribution, de-link content from your account, anonymize content, or relabel content as "deleted user" or similar.
This may apply to comments, chat history, poll participation, list history, event participation traces, and similar collaborative context.
13. Guest Records and Claim/Connect Flow
If an LWV Guest later creates a registered account using the same email address, we may detect corresponding guest-side records and offer the user the option to claim or connect those records.
Such linking does not happen silently. It occurs only if the user accepts the claim/connect flow.
14. Communications
We may send service-related and event-related communications connected to your use of the Services.
Registered users may receive account, security, operational, event-related, and, where permitted by law, occasional marketing communications, subject to available settings and unsubscribe rights.
LWV Guests may receive event-related emails only if they explicitly opt in. LWV Guest email addresses are not used for general marketing communications.
You must not misuse invitations, direct messages, comments, or other communication features for spam, harassment, unlawful solicitation, or abusive conduct.
15. Prohibited Use
You may not use the Services to:
- violate law or regulation;
- use the Services if you are under 16 (or below the minimum age required by applicable law in your country);
- impersonate any person or entity;
- create fake accounts or deceptive profiles;
- post unlawful, infringing, fraudulent, misleading, defamatory, threatening, abusive, hateful, discriminatory, obscene, or exploitative content;
- share personal data of others without lawful basis or permission;
- harass, stalk, threaten, dox, intimidate, or abuse others;
- send spam, bulk unwanted invitations, or unauthorized promotional communications;
- scrape, crawl, harvest, or systematically copy data from the Services;
- use bots, scripts, or unauthorized automation;
- bypass quotas, rate limits, or visibility controls;
- probe, scan, or circumvent security measures;
- reverse engineer or attempt to derive source code;
- upload malware, harmful code, or disruptive material;
- use the Services for unauthorized commercial exploitation or competitive intelligence.
16. Moderation and Enforcement
We may review, remove, restrict, block, or disable access to content, accounts, guest flows, events, invite pages, links, or features where we reasonably believe this is necessary to enforce these Terms, comply with law, protect users, or address safety, abuse, legal, or operational risk.
We provide in-app tools that allow you to report content and users, and to block other users. Blocking a user prevents them from contacting you or seeing your activity. Reports are reviewed by our team and may result in content removal, account restrictions, or other enforcement actions.
17. Suspension, Termination, and Inactivity
We may suspend, restrict, deactivate, or terminate your account or access for violation of these Terms; for fraud, abuse, spam, or safety concerns; for legal or regulatory reasons; or where your conduct creates operational, security, or reputational risk.
In cases of severe misuse, we may act immediately and without prior notice.
We may also deactivate or delete accounts after 24 months of inactivity, with approximately 30 days' prior notice where reasonably practicable.
You may stop using the Services at any time.
18. Changes to the Services, Beta Features, and Limits
We may change, update, suspend, discontinue, remove, or restrict any part of the Services at any time, including the right to introduce new features, remove existing features, change invite-page behavior, or impose storage, upload, or usage limits.
Some features may be beta, experimental, or limited-release features. Such features may not work as expected and may be changed or withdrawn at any time.
The Services are provided on an "as is" and "as available" basis.
19. Payments, Calendar, and Location
At launch, ooverlap may include expense tracking, but it does not process payments or payment card data inside the Services.
ooverlap may support adding events to a calendar through an .ics file or similar handoff. It does not currently provide full third-party calendar synchronization as a core live feature.
ooverlap does not currently provide background location tracking or continuous live location sharing. Location-related functionality may be used only in limited, event-related contexts.
20. Third-Party Services and App Stores
The Services may interact with third-party providers, including infrastructure, identity, app-store, map, email, push, hosting, CDN, and security providers. We are not responsible for third-party services, content, products, policies, or terms.
If you download the app through Apple's App Store, Google Play, or another distribution channel, these Terms are between you and us, not with the distribution channel.
21. Intellectual Property
The Services, including software, design, interfaces, branding, trademarks, logos, text, graphics, compilations, and underlying technology, are owned by us or our licensors and protected by intellectual property laws.
Except as expressly permitted by these Terms, you may not use, copy, adapt, reproduce, distribute, publicly display, sell, license, or create derivative works from the Services or any part of them.
22. Privacy
Our collection and use of personal data are described in our Privacy Policy.
23. Disclaimer
To the fullest extent permitted by law, the Services are provided "as is" and "as available". We do not guarantee uninterrupted availability, accuracy, or error-free operation.
We do not verify the identity, conduct, intentions, attendance, or reliability of users, guests, or event participants. We are not responsible for the conduct of hosts, users, guests, or third parties, or for venue issues, no-shows, transport issues, injuries, theft, disputes, or real-world losses arising from events.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
24. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, business, goodwill, data, or opportunities.
To the fullest extent permitted by law, our aggregate liability will not exceed the greater of EUR 100 or the amount you paid us in the 12 months preceding the event giving rise to the claim.
This section does not limit liability that cannot be limited under applicable law.
25. Indemnity
You agree to indemnify and hold harmless ooverlap and its affiliates, service providers, licensors, and representatives from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- your use of the Services;
- your events;
- your User Content;
- your violation of these Terms;
- your violation of law;
- your infringement of third-party rights;
- your misuse of invite links, communications, or guest access.
26. Informal Dispute Resolution
Before bringing a formal legal claim, you agree to first contact us at contact@ooverlap.app and attempt to resolve the dispute informally for at least 30 days.
Your notice should include your name and contact details, a description of the issue, and the relief you seek.
This does not prevent either party from seeking urgent interim relief where legally available.
27. Governing Law and Jurisdiction
These Terms are governed by the laws of Germany, excluding conflict-of-law rules, unless mandatory consumer protection law provides otherwise.
If you are a consumer residing in another country, you may also benefit from mandatory consumer protections of your country of residence.
To the extent permitted by law, the courts of the courts of Hamburg, Germany have exclusive jurisdiction over disputes arising out of or related to these Terms or the Services.
28. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, by updating the "Last updated" date, or by other reasonable means.
Your continued use of the Services after the updated Terms become effective means you accept them.
29. Miscellaneous
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
If we do not enforce a provision immediately, that does not waive our right to enforce it later.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, sale, restructuring, or transfer of the Services.
These Terms, together with any incorporated policies or supplemental terms, form the entire agreement between you and us regarding the Services.
